urltodoc API Terms of Service

Thank you for using urltodoc's APIs, other developer services, and associated software (collectively, the “APIs”). By accessing or using our APIs, you agree to these Terms of Service. If you do not agree, do not use the APIs.

Product ownership and operator. This product and service (including this website, the APIs, and related offerings marketed as urltodoc) is owned and operated by Kadiaak OÜ, Sepapaja tn 6, 15551 Tallinn, Harju Maakond, Estonia. VAT number: EE102437021. Company registration number: 16357744.

If there is a conflict between these Terms and additional terms that apply to a specific API or product, the additional terms will govern solely for that API or product to the extent of the conflict.

Definitions

Under the Terms, "urltodoc" means Kadiaak OÜ (Sepapaja tn 6, 15551 Tallinn, Harju Maakond, Estonia; VAT: EE102437021; reg. no. 16357744), trading or presenting the urltodoc service, unless set forth otherwise in additional terms applicable for a given API. We may refer to urltodoc or Kadiaak OÜ as "we", "our", or "us" in the Terms.

Section 1: Account and Registration

  • a. Accepting the Terms

    You may not use the APIs and may not accept the Terms if (a) you are not of legal age to form a binding contract with urltodoc / Kadiaak OÜ under the laws that apply to you, or (b) you are a person barred from using or receiving the APIs under applicable law, including the laws of Estonia, the European Union, the United States, or the country in which you reside or from which you use the APIs.

  • b. Entity Level Acceptance

    If you are using the APIs on behalf of an entity, you represent and warrant that you have authority to bind that entity to the Terms and by accepting the Terms, you are doing so on behalf of that entity (and all references to "you" in the Terms refer to that entity).

  • c. Registration

    In order to access certain APIs you may be required to provide certain information (such as identification or contact details) as part of the registration process for the APIs, or as part of your continued use of the APIs. Any registration information you give to urltodoc will always be accurate and up to date and you'll inform us promptly of any updates.

  • d. Subsidiaries and Affiliates

    Kadiaak OÜ may use subprocessors, contractors, or affiliated companies to host or deliver parts of the Services. They act on our behalf where applicable; your contract for the APIs remains with Kadiaak OÜ under these Terms unless we notify you otherwise in writing or in product-specific terms.

Section 2: Using Our APIs

  • a. Your End Users

    You are responsible for your applications and for how your end users use them. You will ensure that your end users comply with applicable law and do not use the APIs in a way that would breach these Terms. You will not pass through to end users any rights that would conflict with these Terms.

  • b. Compliance with Law, Third Party Rights, and Other urltodoc Terms of Service

    You will comply with all applicable law, regulation, and third party rights (including without limitation laws regarding the import or export of data or software, privacy, and local laws). You will not use the APIs to encourage or promote illegal activity or violation of third party rights. You will not violate any other terms of service with urltodoc (or its affiliates).

  • c. Permitted Access

    You will only access (or attempt to access) an API by the means described in the documentation of that API. If urltodoc assigns you developer credentials (e.g. client IDs), you must use them with the applicable APIs. You will not misrepresent or mask either your identity or your API Client's identity when using the APIs or developer accounts.

  • d. API Limitations

    urltodoc sets and enforces limits on your use of the APIs (e.g. limiting the number of API requests that you may make or the number of users you may serve), in our sole discretion. You agree to, and will not attempt to circumvent, such limitations documented with each API. If you would like to use any API beyond these limits, you must obtain urltodoc's express consent (and urltodoc may decline such request or condition acceptance on your agreement to additional terms and/or charges for that use). To seek such approval, contact us through the support or contact options listed on the urltodoc website or your account dashboard.

  • e. Open Source Software

    Some of the software required by or included in our APIs may be offered under an open source license. Open source software licenses constitute separate written agreements. For certain APIs, open source software is listed in the documentation. To the limited extent the open source software license expressly supersedes the Terms, the open source license instead sets forth your agreement with urltodoc for the applicable open source software.

  • f. Communication with urltodoc

    We may send you certain communications in connection with your use of the APIs. Please review the applicable API documentation for information about opting out of certain types of communication.

  • g. Feedback

    If you provide feedback or suggestions about our APIs, then we (and those we allow) may use such information without obligation to you.

  • h. Non-Exclusivity

    The Terms are non-exclusive. You acknowledge that urltodoc may develop products or services that may compete with the API Clients or any other products or services.

Section 3: Your API Clients

a. Use of the APIs in your products

The APIs are intended to help you build or improve your websites, applications, and integrations (each an “API Client”). You are solely responsible for your API Clients, their content, and their compliance with law.

b. Monitoring

You agree that Kadiaak OÜ may monitor use of the APIs as permitted by law and our documentation—for example to ensure security and quality, to improve our products and services, to meter usage and billing, and to verify your compliance with these Terms. This does not reduce your obligations under applicable privacy laws toward your end users.

c. Security

You will use commercially reasonable efforts to protect user information collected by your API Client, including personally identifiable information (“PII”), from unauthorized access or use and will promptly report to your users any unauthorized access or use of such information to the extent required by applicable law.

d. Ownership

urltodoc / Kadiaak OÜ does not acquire ownership of your API Clients or your content. By using our APIs, you do not acquire ownership of any rights in our APIs, our software, or third-party content accessed through the APIs beyond the limited rights expressly granted in these Terms.

e. User privacy and API Clients

You will comply with all applicable privacy laws and regulations, including those applying to PII. You will provide and adhere to a privacy policy for your API Client that clearly and accurately describes to end users what information you collect and how you use and share it (including with urltodoc and third parties, and for advertising where applicable).

Section 4: Prohibitions and Confidentiality

a. API Prohibitions

When using the APIs, you may not (or allow those acting on your behalf to):

  • Sublicense an API for use by a third party.
  • Perform an action with the intent of introducing to urltodoc products and services any viruses, worms, defects, Trojan horses, malware, or any items of a destructive nature.
  • Defame, abuse, harass, stalk, or threaten others.
  • Interfere with or disrupt the APIs or the servers or networks providing the APIs.
  • Promote or facilitate unlawful online gambling or disruptive commercial messages or advertisements.
  • Reverse engineer or attempt to extract the source code from any API or any related software.
  • Use the APIs for any activities where the use or failure of the APIs could lead to death, personal injury, or environmental damage.
  • Use the APIs to process or store any data subject to export control or arms regulations where such use would violate those rules (including, where applicable, U.S. ITAR rules).
  • Remove, obscure, or alter any urltodoc terms of service or any links to or notices of those terms.

b. Confidential Matters

Developer credentials (such as passwords, keys, and client IDs) are intended to be used by you and identify your API Client. You will keep your credentials confidential and make reasonable efforts to prevent and discourage other API Clients from using your credentials. Developer credentials may not be embedded in open source projects.

Our communications to you and materials we provide in connection with the APIs may contain confidential or proprietary information of urltodoc / Kadiaak OÜ. You will not disclose such information to third parties except as required by law or with our prior written consent, and you will use it only as needed to exercise your rights under these Terms.

Section 5: Privacy and Copyright Protection

a. urltodoc Privacy Policies

By using our APIs, you acknowledge that urltodoc / Kadiaak OÜ may process personal data and technical data as described in the Privacy Policy or data processing information we make available on this website.

b. Copyright and intellectual property

We respect intellectual property rights. If you believe content accessed through our Services infringes your rights, contact us using the details on our website with a clear description of the work, the allegedly infringing material, and your contact information. We may remove or disable access to material where required or appropriate under applicable law. Nothing in these Terms constitutes legal advice about your obligations in your jurisdiction.

Section 6: Termination

a. Termination

You may stop using our APIs at any time by ceasing use and, where applicable, closing your account or revoking credentials. We may suspend or terminate your access to the APIs or these Terms if you materially breach them, if we are required to do so by law, or if we discontinue an API (where reasonably practicable, we will give advance notice).

b. Your obligations post-termination

When access ends, you must stop using the APIs and delete or return any confidential credentials or materials we provided, except where retention is required by law. Provisions that by their nature should survive (including payment obligations accrued before termination, limitations of liability, indemnities, and governing law) will remain in effect.

c. Surviving Provisions

When the Terms come to an end, those terms that by their nature are intended to continue indefinitely will continue to apply.

d. Cancellation for subscriptions purchased with a card

Where we offer paid plans, you may cancel a subscription purchased by card through your account on the urltodoc website or billing portal (for example via Subscriptions or Billing > Manage > Cancel, if available). Cancellation takes effect at the end of the current billing period unless stated otherwise at checkout. Refunds, if any, follow our pricing page or checkout terms.

Section 7: Liability for our APIs

a. WARRANTIES

EXCEPT AS EXPRESSLY SET OUT IN THE TERMS, NEITHER KADIAAK OÜ NOR ITS SUPPLIERS OR DISTRIBUTORS MAKE ANY SPECIFIC PROMISES ABOUT THE APIS. FOR EXAMPLE, WE DO NOT COMMIT TO THE CONTENT ACCESSED THROUGH THE APIS, THE SPECIFIC FUNCTIONS OF THE APIS, OR THEIR RELIABILITY, AVAILABILITY, OR FITNESS FOR YOUR PURPOSE. WE PROVIDE THE APIS “AS IS”.

SOME JURISDICTIONS PROVIDE FOR CERTAIN WARRANTIES, SUCH AS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. EXCEPT AS EXPRESSLY PROVIDED IN THE TERMS, TO THE EXTENT PERMITTED BY LAW, WE EXCLUDE ALL WARRANTIES, GUARANTEES, CONDITIONS, REPRESENTATIONS, AND UNDERTAKINGS NOT EXPRESSLY STATED HERE.

b. LIMITATION OF LIABILITY

WHEN PERMITTED BY LAW, KADIAAK OÜ AND ITS SUPPLIERS AND DISTRIBUTORS WILL NOT BE LIABLE FOR LOST PROFITS, REVENUES, OR DATA; FINANCIAL LOSSES; OR INDIRECT, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.

TO THE EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF KADIAAK OÜ AND ITS SUPPLIERS AND DISTRIBUTORS FOR ANY CLAIM UNDER THE TERMS, INCLUDING FOR IMPLIED WARRANTIES WHERE THEY CANNOT BE EXCLUDED, IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID KADIAAK OÜ FOR THE APPLICABLE APIS IN THE SIX (6) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) FIFTY EUROS (EUR 50), IF YOU HAVE NOT PAID FEES.

IN ALL CASES, KADIAAK OÜ AND ITS SUPPLIERS AND DISTRIBUTORS WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE THAT IS NOT REASONABLY FORESEEABLE.

c. Indemnification

Unless prohibited by applicable law, you will defend and indemnify Kadiaak OÜ, urltodoc, and their respective directors, officers, employees, and contractors, against all liabilities, damages, losses, costs, fees (including reasonable legal fees), and expenses relating to any allegation or third-party legal proceeding to the extent arising from:

  • your misuse or your end user's misuse of the APIs;
  • your violation or your end user's violation of the Terms; or
  • any content or data routed into or used with the APIs by you, those acting on your behalf, or your end users.

Section 8: General Provisions

a. Modification

We may modify the Terms or any portion to, for example, reflect changes to the law or changes to our APIs. You should look at the Terms regularly. We'll post notice of modifications to the Terms within the documentation of each applicable API, to this website, and/or in the urltodoc account website. Changes will not apply retroactively and will become effective immediately after they are posted. But changes addressing new functions for an API or changes made for legal reasons will be effective immediately. If you do not agree to the modified Terms for an API, you should discontinue your use of that API. Your continued use of the API constitutes your acceptance of the modified Terms.

b. General Legal Terms

We each agree to contract in the English language. If we provide a translation of the Terms, we do so for your convenience only and the English Terms will solely govern our relationship. The Terms do not create any third party beneficiary rights or any agency, partnership, or joint venture. Nothing in the Terms will limit either party's ability to seek injunctive relief. We are not liable for failure or delay in performance to the extent caused by circumstances beyond our reasonable control. If you do not comply with the Terms, and we do not take action right away, that does not waive any rights we may have. If a particular term is not enforceable, the remaining terms stay in effect. The Terms are the entire agreement between you and Kadiaak OÜ regarding urltodoc and the APIs and supersede prior agreements on the same subject. Except as mandatory law applicable to you provides otherwise (for example, rights of consumers in the EU/EEA): (i) the laws of the Republic of Estonia, excluding its conflict-of-law rules, govern these Terms and any dispute arising out of or relating to them or the APIs; and (ii) the courts of Harju County, Estonia (Harju Maakohus), with venue in Tallinn, have exclusive jurisdiction, and you and Kadiaak OÜ submit to the personal jurisdiction of those courts.

c. Online Billing

At the end of each billing period or as stated in your account or order, Kadiaak OÜ will invoice or charge you for fees based on your use of the Services during that period (including any add-ons or support fees listed at purchase). You will pay all fees in the currency shown at checkout or on the invoice. If you pay by card or another immediate payment method we accept, we may charge fees at the end of the billing period or as described at purchase. If we agree to invoice you separately, amounts are due as stated on the invoice. Fees accrued before termination remain payable. Our measurement of usage and fees is determinative unless you prove a material error. Wire transfers must use the bank details we provide.

d. Taxes

Fees do not include taxes, levies, duties, or similar governmental assessments (including VAT, sales, use, or withholding taxes) assessable by any jurisdiction (collectively, “Taxes”). You are responsible for paying all Taxes associated with your purchases, other than taxes on Kadiaak OÜ’s net income. If we are legally required to collect Taxes for which you are responsible, we will invoice them unless you provide a valid tax-exemption document where applicable. Kadiaak OÜ remains responsible for its own income and payroll taxes as required by law.
